Vianet Technologies and Comm-Services Corporation 
Announce the Merger of the Two Companies

    DALLAS, Jan. 2, 2002 - Vianet Technologies, Inc., (OTCBB:VNTK) a Plano, Texas, USA based company, announced today that it has completed the previously announced merger of Vianet Technologies and Comm-Services Corporation (CSC).

    The merger combines a global IP network, broadband wireless access and a suite of visual media applications which enable the company to offer consistent, high quality voice, video and data services. Vianet's product application suite will be offered independently or as a bundled solution set. Vianet's business model addresses the application gap that exists in most broadband offerings and offers opportunities for greater profitability for Vianet's national and regional XDSL and Cable Modem marketing partners.

    Service providers today typically limit their Internet service offerings to e-mail, electronic commerce, instant messaging, and Web browsing. To date these applications and services have remained the purview of "dial-up" bandwidth users. Adding more bandwidth (XDSL/Cable Modem) has only added a few streaming applications and faster browsing. These services have not provided sufficient justification to users for the extra cost of higher bandwidth access and the promise of all the feature rich interactive applications that broadband was supposed offer has not yet materialized. More profitable applications such as interactive TV, interactive gaming, videoconferencing, and movies on demand are the exception, not the norm. Even voice over IP (VOIP) remains unexploited. Vianet will be offering a bundling of these types of enhanced services so as to motivate the end user to purchase broadband. These bundled applications will include Vianet's products and those of its strategic partners. adding both hardware products such as set top boxes and software services.

    "The combining of our global IP network with our suite of visual media applications allows us to offer consistent, high quality voice, video and data services to customers on a privately managed IP-based network," said Greg Somers, the newly appointed President of Vianet. "A number of our VOIP customers have been looking to add enhanced bundled services to their product offerings. Over the next few years, we intend to become the video application service provider of choice for carriers and Fortune 1000 companies worldwide. We will accomplish this goal through direct sales and aggressive partnering with world-class carriers and systems integrators."

    Pete Ianace, CEO of Vianet, added: "For the enterprise customer we can offer a global Virtual Private Network (VPN), with bandwidth management and Quality of Service (QOS). This provides business quality video conferencing and data collaboration any time, anywhere. This combination generates a business reason to justify VPN services for both the traditional service providers and the enterprise customer."

    The combined company has approximately 65 employees based in Plano, Texas and Reno, Nev. The company's head office remains in Plano.
