Gabriel Acquires Endwave's Antenna Business

Scarborough, ME, January 14, 2002 - Gabriel Electronics, a market leader in advanced broadband antenna solutions, has announced the acquisition of Endwave Corporation's antenna business. Endwave's antenna group has leveraged its core RF subsystem expertise to provide customers with lead-edge millimeter wave radio link solutions. Over the past several years Gabriel and Endwave have collaborated to produce an extensive family of antenna solutions for the broadband market, making the acquisition of the Endwave antenna business a natural evolution for Gabriel.

The assets acquired in this transaction include intellectual property related to advanced microwave and millimeter wave antenna solutions such as the GemFire(tm) and WavShapr(tm) products, including patents and patent applications. Other assets include laboratory equipment and software systems used in the design and development of the industry's most advanced and highest performance antenna solutions.

"This acquisition enhances Gabriel's ability to offer advanced antenna solutions to our customers globally while leveraging the excellent performance advantages Endwave has incorporated in its antenna development programs," said Robert Cameron CEO and president at Gabriel.

"In addition, these solutions add to the current leading-edge products provided by Gabriel and provide the seed for further development in performance improvement, price for performance and aesthetic appeal demanded by the industry," Cameron added.

"This agreement meets our stated objective to divest of this business segment in order to sharpen our focus on our core business as a leading supplier of high-frequency RF transceivers for the wireless telecommunications infrastructure markets", stated Ed Keible, CEO and president of Endwave. "Gabriel's ability to capitalize on Endwave's antenna development efforts and continued execution of the intellectual property toward revenue generating products makes this agreement a win-win for Endwave and Gabriel."
